This Agreement governs your participation in the Affiliate VR-Sync program. By signing up to be an affiliate in the Affiliate VRSync Program (“the Program”) you are agreeing to be bound by the VRSync terms and conditions (“Terms & Conditions”) and this agreement. VRSync reserves the right to update and change the Terms & Conditions and this Agreement from time to time without notice. DEFINITIONS When used in this Agreement, the following terms shall have the respective meanings indicated, suchmeanings to be applicable to both the singular and plural forms of the terms defined: “Agreement” means this agreement, the “Exhibit” attached hereto and any documents included by reference, as each may be amended from time to time in accordance with the terms of this Agreement; “Company”: Uil VR Solutions B.V. (the “Company”), a corporation organized and existing under the laws of the Netherlands , with its head office located at Demkaweg 11, 3555 HW, Utrecht “Affiliate means” The business, individual, or entity applying to or participating in the Affiliate Program, or that displays VR Sync’s products and Services and/or promotions on its website, or other means, using an affiliate tracking code in exchange for receiving a commission from VR Sync for sales directly resulting from such display.
“Customer” means any person who purchases or leases Products from Affiliate. “Exhibit” means an exhibit attached to this agreement. "Products" means those items described in Exhibit A."Products" may be deleted from or added to Exhibit A and their specifications and design may be changed by ‘Company’ at its sole discretion at any time by mailing written notice of such changes to ‘Affiliate’. Each change in Exhibit A shall become effective 30 days following the date notice there of is sent to Affiliate. “Products” means Physical "Products" and/or Licensed Products described in Exhibit A. “Marks” means all media like images, video’s, logos, banners etc. “Special Links” means the links provided by the affiliate program “Pages” the pages where the affiliate link should point to

1. Affiliate Terms ● You must be 18 years or older to be part of this Program. ● You must be a human. Accounts registered by “bots” or other automated methods are not permitted. ● You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process. ● Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as you'd like. ● You are responsible for maintaining the security of your account and password. “Company” cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. ● You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account). ● You may not use the Affiliate Program for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). ● You may not use the Affiliate Program to earn money on your own VRSync account. 2. Affiliate Program Overview (“the Program”) . The Affiliate Program permits you to receive compensation in exchange for referring customers that purchase "Products". If we accept your Program application, we will provide you with “Special links” and “Marks” for display on websites and online services operated by you that are approved by VRSync for use in connection with your services. Subject to the terms of the “Agreement”, we will pay you a commission of “Products” revenue received by your Affiliate Program from users that click on “Marks” and purchase “Products” license within 60 days of clicking on your Link 3. Program Portal. To participate in “the Program”, you will need to access the Refersion portal (“the Portal”), which is accessible through a URL that will provide to you. 4. Enrollment. To be eligible to participate in the Program, you must accurately complete the “Portal” application. We reserve the right to reject your application for any reason. If you are entering into this Agreement on behalf of an entity: (a) you represent and warrant that you are authorized to bind such entity to “Agreement” and that such entity will be responsible for your and any other of its employees or agents activities in connection with “the Program”; and (b) references to “you” in this Agreement will refer to you and such entity, collectively. You may only participate in “the Program” if permitted by the laws of your jurisdiction and the terms of any agreements you may have entered into with third parties. 5. Links/graphics on your site, in your emails or other communications Once you have signed up for the Program, you will be assigned a unique Affiliate Code. You are permitted to place “Marks”, we provide with your Affiliate Code on your site, in your emails, or in other communications. We will provide you with links, banners, or other graphics artwork to use. We may change the design of the artwork at any time without notice, but we won't change the dimensions of the images without proper notice. To permit accurate tracking, reporting, and referral fee accrual, we will provide you with special link formats through “the Portal” to be used in all links between your site and “Pages”. You must ensure that each of the links between your site and the “Pages” properly utilizes such special link formats. Links to “the Pages” placed on your site pursuant to this Agreement and which properly utilize such “Special links” formats are referred to as "Special Links."

------------------------------------------------------------------------------------------------------------------------------------------------------------------- You will earn commission only with respect to sign-ups "Products" occurring directly through Special Links; we will not be liable to you with respect to any failure by you or someone you refer to use “Special Links” or incorrectly type your Affiliate Code, including to the extent that such failure may result in any reduction of amounts that would otherwise be paid to you pursuant to this Agreement. 6. Prohibited Content. Your services must not contain any content that: (i) is violent or sexually explicit; (ii) violates any applicable law or infringes or misappropriates any intellectual property right; (iii) is in any way harmful, threatening, defamatory, obscene, harassing or otherwise objectionable; (iv) includes malware, viruses, or other harmful code. 7. Prohibited Activities. You will not: a. mislead users regarding the purpose; b. engage in any fraudulent or unlawful activities; c. state or imply that you or your service are part of, affiliated with, or endorsed by the Program; d. use VR-Sync “Marks” and name, or any similar variations, other than as permitted under this Agreement. This includes not using the name or any other “Marks” of VR-Sync in website meta tags, bids for paid advertising, search engine optimization, or press releases; e. use, or register for, any domain name or any similar variations f. You must NOT run “negative” PPC or iframe domain campaigns such as “Product name / author name scam” or any other method to attract controversial click thru rates that an ordinary person would deem to portray a negative view of the product. This creates a very bad image for our company and the individuals featured in the products and you will be terminated from the program instantly. 8. Identifying yourself as a VRSync Affiliate You may not issue any press release with respect to this Agreement or your participation in the Program; such action may result in your termination from the Program. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, say you develop our products, say you are part of “Company” or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that we support, sponsor, endorse, or contribute money to any charity or other cause) unless specifically agreed on You may not purchase products through your affiliate links for your own use. Such purchases may result (in our sole discretion) in the withholding of referral fees and/or the termination of this Agreement 9. Customer definition Customers who buy “Products” through “the Program” will be deemed to be our customers. Accordingly, all of our rules, policies, and operating procedures concerning customer orders, customer service, and product sales will apply to those customers. We may change our policies and operating procedures at any time. For example, we will determine the prices to be charged for products sold under this Program in accordance with our own pricing policies. Product prices and availability may vary from time to time. Products that you have listed on your site, you should not display product prices on your site.

Your responsibilities You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for: a. The technical operation of your site and all related equipment b. Ensuring the display of Special Links on your site does not violate any agreement between you and any third party (including without limitation any restrictions or requirements placed on you by a third party that hosts your site) c. The accuracy, truth, and appropriateness of materials posted on your site (including, among other things, all Product-related materials and any information you include within or associate with “Special Links”) d. Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) e. Ensuring that materials posted on your site are not libellous or otherwise illegal f. Ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers 11. Payment. A. Referral fees/commissions and payment For a “Products” sale to be eligible to earn a referral fee, the Customer must click-through a “Special Link” from your site, email, or other communications to the “Pages” and purchase “Products” during that session. The session ends once someone closes their web browser, navigates away from the “Pages”, or otherwise leaves the “Pages” without purchasing up for “Products” before leaving the site. If they leave the site, come back 60 days later, and then purchase “Products”, you will not earn a commission. There is one type of referral fees that can be earned: 1. Sign-up commissions Sign-up commissions are earned once the “Customer” has purchase Products and has made their first monthly payment. Commissions are only earned if a customer makes a payment. The current commission chart may be found at Exhibit B, Commission Structure. The Commission Structure is subject to change at our discretion. We will notify all Affiliates 30 days prior to a commission structure change. We will only pay commissions on links that are automatically tracked and reported by “the Portal”. We will not pay commissions if someone says they signed up or someone says they entered a referral code if it was not tracked by “the Portal”. We can only pay commissions on business generated through properly formatted special links that were automatically tracked by our systems. We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

Payments by PayPal Commissions are paid by PayPal and only by PayPal. We can not send checks, credit cards, or send cash. You are required to have a PayPal account to receive commissions. If you don't have a PayPal account you can sign up for one at any time, but you will not be paid until you have one. C. Payout. We will pay commission to the payment method designated by you via the “Portal” D. Payment schedule You'll be paid roughly every 30 days. Payments are only made via PayPal. Payment shall be made in Euro to a bank account to be notified in writing by Company, Portal to Affiliate. 12. Price Chances “Company” reserves the right, in its sole discretion, to change prices or discounts applicable to the “Products”. Company shall give written notice to Distributor of any price change at least 30 days. The price in effect as of the date of Affiliate receipt of notice of such price change shall remain applicable to all orders received by “Company” prior to that effective date. 13. Indemnification. You will indemnify and hold us and our affiliates and subsidiaries, and our and their respective directors, officers, employees, agents, and shareholders, (collectively, the “ Parties”) harmless against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ or other professionals’ fees) that arise out of or relate to: (a) your participation in the Program, (b) your breach of this Agreement, or (c) Your Services. 14. Term of the Agreement and Program The term of “Agreement” will begin upon our acceptance of “the Program” application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to any Product Site, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program. “Company” reserves the right to end the Program at any time. 15. Limitations of Liability We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this “Agreement” or “the Program”, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this “Agreement” and the “Program” will not exceed the total referral fees paid or payable to you under this Agreement. 16. Duration The duration of the agreement will be 12 months after the official starting date of the Program. Both parties maintain the right to terminate “the Agreement” 2 months before the official end date. Termination of the agreement needs to be done in writing and received by the counter partner at least two months before the official end date.

GOVERNING LAW and COURT “Agreement” and all disputes arising out of it shall be construed in accordance with and be governed by the laws of The Netherlands. All disputes arising out of this agreement, including disputes that are only considered disputes by one of the parties to the agreement, shall solely be submitted to the district court in Amsterdam, The Netherlands. 18. ENTIRE AGREEMENT “Agreement” contains the entire understanding of the parties and there are no commitments, agreements, or understandings between the parties other than those expressly set forth herein. “Agreement” shall not be altered, waived, modified, or amended except in writing signed by the parties hereto and notarized
